Terms of Service — Swift Reviews

These Terms of Service (“Terms”) govern your access to and use of the Swift Reviews website, applications, and services (collectively, the “Service”). By creating an account, subscribing to a paid plan, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Swift Reviews provides tools that help local businesses request feedback and online reviews from their customers by email, SMS, and other channels. We may display delivery status, aggregate analytics, and related reporting to help you measure results. We do not guarantee any particular number of reviews, ratings, conversions, search-ranking outcomes, or revenue growth.

2. Eligibility and account registration

You must be at least 18 years old and authorized to bind your business to these Terms. When you register, you agree to provide accurate, complete, and current information and to keep it updated. You are responsible for all activity that occurs under your account, including the acts and omissions of your employees, contractors, or anyone else you allow to use your account.

3. Account security

You are responsible for maintaining the confidentiality of your login credentials and for any use of your account. You agree to notify us immediately if you suspect unauthorized access or a security breach. We are not liable for loss or damage arising from your failure to keep your account secure.

4. User responsibilities

When using the Service, you agree that you will:

Only upload, import, or message contacts from whom you have obtained appropriate consent or another lawful basis to contact.
Honor all opt-out, unsubscribe, and do-not-contact requests promptly.
Ensure your messages are truthful, not misleading, and comply with all applicable laws, regulations, and platform policies.
Maintain accurate business information, including your Google review link and contact details.
Use the Service in a manner consistent with these Terms and any documentation we provide.

5. Prohibited conduct

You may not use the Service to:

Send unsolicited, bulk, or harassing messages to individuals who have not consented to receive them.
Upload or distribute content that is unlawful, defamatory, obscene, fraudulent, discriminatory, or infringing.
Attempt to manipulate, incentivize, coerce, or fake reviews in violation of any review platform’s policies.
Impersonate another person or business, or misrepresent your identity or affiliation.
Reverse engineer, scrape, interfere with, or disrupt the Service or its infrastructure.
Use the Service for any illegal purpose or in violation of laws such as the TCPA, CAN-SPAM, GDPR, CCPA, or carrier guidelines.

6. Customer data and consent

You retain ownership of the customer contact data and business content you upload. You grant us a limited license to use that data solely to operate the Service on your behalf, including sending review requests, tracking delivery status, and generating aggregate reports. You represent that you have the right to share this data with us and that its collection and use complies with applicable privacy laws.

7. Fees, billing, and subscriptions

Paid plans are billed in advance on a recurring basis unless otherwise stated. Fees are non-refundable except where required by law. We may change pricing or features with reasonable notice. You are responsible for all taxes and charges associated with your subscription. Failure to pay may result in suspension or termination of your account.

8. Service availability and modifications

We aim to keep the Service available, but we do not guarantee uninterrupted access. Maintenance, updates, third-party outages, and other factors may cause temporary disruptions. We may modify, suspend, or discontinue features at any time, and we will endeavor to provide notice for material changes.

9. Third-party services

The Service integrates with third-party providers such as SMS carriers, email services, Google, and payment processors. We are not responsible for the availability, accuracy, security practices, or terms of those third parties. Your use of third-party services is subject to their respective terms and policies.

10. Intellectual property

The Service, including all software, designs, trademarks, logos, and content provided by us, is owned by Swift Reviews or its licensors and is protected by intellectual property laws. You retain ownership of the data you upload. You may not copy, modify, distribute, or create derivative works of our materials without our written permission.

11. Confidentiality

You agree not to disclose or use any non-public information about the Service, other users, or our business that you obtain through your use of the Service, except as necessary to use the Service or as required by law.

12. Termination and suspension

You may cancel your account at any time from your account settings. We may suspend or terminate your access if you violate these Terms, create risk for us or other users, fail to pay fees, or if required by law. Upon termination, your right to use the Service ceases immediately, and we may delete or archive your data in accordance with our Data Retention & Usage Policy.

13. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy. We do not warrant that the Service will be error-free, secure, or free of harmful components.

14. Limitation of liability

To the maximum extent permitted by law, Swift Reviews and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, revenues, data, or goodwill arising out of or relating to your use of the Service. Our total liability for any claim will not exceed the amounts you paid to us in the 12 months preceding the claim.

15. Indemnification

You agree to indemnify and hold harmless Swift Reviews and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of your use of the Service, your content, your violation of these Terms, or your violation of any third-party right or applicable law — including any claim that a message sent on your behalf was unsolicited or otherwise unlawful.

16. Governing law and dispute resolution

These Terms are governed by the laws of the jurisdiction in which Swift Reviews is established, without regard to conflict-of-law principles. Any dispute arising under these Terms will be resolved through binding arbitration or in the courts located in that jurisdiction, as required by applicable law.

17. Severability and entire agreement

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect. These Terms, together with our Privacy Policy, Cookie Policy, Data Retention & Usage Policy, and any other policies referenced herein, constitute the entire agreement between you and Swift Reviews regarding the Service.

18. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
